2. Acceptance of Terms

By using our website or engaging our services, you represent that you are at least 18 years of age (or the legal age of majority in your jurisdiction), have the legal authority to enter into these Terms, and agree to be bound by them. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, please do not use our website or services.

Silver Team Services provides professional mobile application development services, including but not limited to:

• iOS application development (Swift / Objective-C)
• Android application development (Kotlin / Java)
• Cross-platform application development (React Native, Flutter)
• UI/UX design and prototyping
• Backend and API development
• App maintenance, support, and updates
• Technology consulting

The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate written agreement (Statement of Work or Service Agreement) between Silver Team Services and the client. In the event of any conflict between these Terms and a specific Service Agreement, the Service Agreement shall control.

4. Project Engagements

Proposals and Quotes: Any proposal, quote, or estimate provided by Silver Team Services is not a binding contract. An engagement begins only upon execution of a signed Service Agreement and receipt of any required initial payment.

Client Responsibilities: Clients are responsible for providing accurate project requirements, timely feedback, and all necessary materials (content, brand assets, API credentials, etc.) to enable Silver Team Services to perform its obligations. Delays caused by the client may affect project timelines and costs.

Changes to Scope: Any changes to the agreed project scope must be documented in a written change order signed by both parties. Silver Team Services reserves the right to adjust pricing and timelines accordingly.

5. Payment Terms

Payment terms are specified in the applicable Service Agreement. Unless otherwise agreed in writing:

• An initial deposit (typically 30–50% of the total project fee) is required before work commences.
• Milestone payments are due upon completion of defined project milestones.
• Final payment is due upon delivery of the final deliverables.
• Invoices are due within 14 days of the invoice date unless otherwise specified.
• Late payments may incur a monthly interest charge of 1.5% or the maximum rate permitted by law, whichever is lower.

Silver Team Services reserves the right to suspend work on any project where payment obligations are not met.

6. Intellectual Property

Client Materials: You retain all rights to any materials, data, trademarks, or pre-existing intellectual property that you provide to Silver Team Services. You grant us a limited license to use such materials solely to perform the agreed services.

Work Product: Upon receipt of full payment for a project, Silver Team Services assigns to the client all rights, title, and interest in the custom-developed deliverables created specifically for that project, to the extent permitted by applicable law.

Pre-existing IP and Tools: Silver Team Services retains all rights to its pre-existing tools, frameworks, libraries, methodologies, and general know-how developed prior to or independently of any client engagement. To the extent that Silver Team Services incorporates pre-existing IP or open-source components into deliverables, it grants the client a perpetual, royalty-free license to use such components as part of the delivered product.

Portfolio Rights: Unless explicitly prohibited in writing, Silver Team Services reserves the right to display general descriptions of completed projects in its portfolio for marketing purposes.

7. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the course of an engagement ("Confidential Information"). This obligation does not apply to information that (a) is or becomes publicly known through no breach of this agreement, (b) was rightfully known before disclosure, (c) is independently developed without use of Confidential Information, or (d) is required to be disclosed by law or court order.

8. Warranties and Representations

Silver Team Services warrants that:

• It has the right to enter into agreements for the services it provides.
• Services will be performed in a professional and workmanlike manner consistent with industry standards.
• Deliverables will materially conform to the agreed specifications at the time of delivery.

Silver Team Services does not warrant that services will be uninterrupted or error-free, or that deliverables will be free from all defects. Our warranty period for bug fixes on delivered software is 30 days from the date of final delivery, unless otherwise specified in the Service Agreement.

You represent and warrant that you have the right to use and authorize Silver Team Services to use all materials you provide, and that such use does not infringe any third-party intellectual property rights.

9. Limitation of Liability

You agree to indemnify, defend, and hold harmless Silver Team Services LLC and its members, managers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the services in violation of applicable law; (c) any materials you provide that infringe third-party intellectual property rights; or (d) your negligence or willful misconduct.

11. Termination

By Either Party: Either party may terminate a Service Agreement for material breach if the breaching party fails to cure such breach within 15 days of written notice.

By Silver Team Services: We may immediately suspend or terminate services if you fail to make required payments, engage in illegal or fraudulent activity, or violate these Terms in a way that cannot be cured.

Effect of Termination: Upon termination, you agree to pay for all services rendered and expenses incurred up to the termination date. Sections on Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

Your use of our website is subject to the following conditions:

• You may not use our website for any unlawful purpose or in violation of any applicable regulations.
• You may not attempt to gain unauthorized access to any part of our website or its underlying systems.
• You may not use automated tools to scrape, crawl, or extract data from our website without prior written consent.
• You may not transmit any viruses, malware, or other harmful code through our website.

Silver Team Services reserves the right to modify, suspend, or discontinue any aspect of the website at any time without notice.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or any Service Agreement shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in DeKalb County, Georgia, in accordance with the American Arbitration Association Commercial Arbitration Rules. The decision of the arbitrator shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

15. Disclaimer of Warranties

OUR WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

16. Changes to These Terms

Silver Team Services reserves the right to update or modify these Terms at any time. We will indicate the date of the most recent revision at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. For active projects, material changes to Terms will be communicated directly to affected clients.

17. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The failure of Silver Team Services to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

18. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and Silver Team Services with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
